Terms of Service

For the use of AgentBrain (agentbrain.ch and related services).

1. Scope

These Terms of Service ("Terms") govern your use of AgentBrain's services — comprising the website agentbrain.ch, the Brain API, the MCP server (mcp.agentbrain.ch), the cockpit, the customer surface, and all related apps — by you as a user ("you", "user"). The provider is Theshoth Sritharan, AgentBrain, 6072 Sachseln, Switzerland ("AgentBrain", "we", "us").

2. Contract and Account

By registering an account and accepting these Terms, a usage contract is concluded. You agree to provide truthful information when registering and to keep your credentials confidential. Each person may only open one account.

3. Services

AgentBrain provides a cognitive substrate platform for AI agents. Specifically, we offer:

• Persistent memory storage for AI agents (Brain API)
• Standardized access via MCP (Model Context Protocol)
• Cockpit and management surface
• API keys and OAuth authentication for multi-surface access

The feature scope may evolve. We will communicate material changes in advance.

4. User Obligations

You agree:

• not to use the service for unlawful or abusive purposes,
• not to store content that infringes third-party rights (copyright, personality rights, etc.),
• not to run malicious software or automated mass access (scraping, DDoS-like loads) against our service,
• to keep API keys and OAuth client secrets secure and to rotate them immediately if compromised,
• to comply with applicable law (in particular data protection and copyright law).

5. Availability

We strive for high availability but do not guarantee uninterrupted operation. Maintenance windows, updates, and unforeseen outages may cause temporary interruptions.

6. Pricing and Payment

To the extent services are paid, the prices communicated at the time of booking apply. Subscriptions renew automatically unless cancelled before expiration. We will communicate price changes at least 30 days in advance.

7. Intellectual Property

All rights to software, source code, design, trademarks, and documentation of AgentBrain belong to AgentBrain or the respective licensors. You receive a non-exclusive, non-transferable usage right for the duration of the contract.

You retain all rights to content you store in your workspace (memories, conversations, Brain content). We process this content solely to provide the service.

8. Liability

We are liable for damages only in cases of intent and gross negligence. Liability for slight negligence is excluded to the extent permitted by law. For data loss, we recommend regularly backing up important content; we do not guarantee recovery.

9. Termination

You may delete your account at any time. We may terminate the contract with 30 days' notice, or without notice in case of material breach. After termination, your data will be deleted within 30 days (see Privacy Policy).

10. Changes to the Terms

We may modify these Terms when there is a substantive reason (e.g. legal changes, new features). We will notify you of material changes at least 30 days in advance.

11. Governing Law and Jurisdiction

Swiss law applies exclusively, under exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Sachseln, Switzerland, to the extent permitted by law.

12. Severability

If any provision of these Terms is invalid, the validity of the remaining provisions shall remain unaffected. The statutory provision shall replace the invalid provision.
